Acquisition of MAXRAY shares (subsidiary acquisition) by USHIO LIGHTING

We are pleased to announce that on March 20, 2015, USHIO LIGHTING, INC. (Headquarters: Tokyo, COO / Managing Director: Takamasa Kikkawa, henceforth USHIO LIGHTING) concluded an agreement relating to the acquisition of the stock of MAXRAY INC. (Headquarters: Osaka, President and CEO: Hiroyuki Yamamoto, henceforth MAXRAY). Under the agreement, USHIO LIGHTING plans to acquire 100% of the issued shares of MAXRAY on April 27.



Since its establishment in 1963, USHIO LIGHTING has provided various types of halogen or LED lamps and light sources for general lighting, lighting for shops and commercial facilities, and special lighting. In recent years, it has provided new applications for lighting to public and commercial facilities using a combination of the latest LED devices (hardware) and lighting controls (software), developing its business not only Japan but also countries in Asian region such as China and South Korea.

Meanwhile, since the start-up of its business in 1957, MAXRAY has made its name in specialized design, development, and lighting planning of high-value added lighting technology for commercial facilities. As a result of its strengths, MAXRAY’s products are used in retailers, restaurants and hotels in commercial facilities across Japan, which demand a high level of design. Presently, they are expanding their distribution network overseas, primarily into Asia.


Amid the acceleration of the shift toward LED technology in the lighting market in recent years, USHIO LIGHTING, as a lighting manufacturer, has also pushed forward in strengthening its design and development capabilities, with the necessity to develop its LED and lighting fixture businesses as one, rather than being limited to just selling LED lamps and light sources. USHIO INC., the parent company of USHIO LIGHTING, meanwhile, has until now driven business expansion through M&A, and through this stock acquisition, aims to further expand USHIO LIGHTING, and in particular its high-value added lighting business in LEDs through synergy effects with MAXRAY.

Furthermore, through the signing of this contract, Ryujiro Tsubaki (currently a director of USHIO LIGHTING) will take up the position of President and representative director of MAXRAY on April 27.

(Chuo-ku, Tokyo / President & CEO: Shiro Ushio), is pleased to announce that Miraikan has renewed its equipment and system, adopting the Christie 4K RGB pure laser projector for the museum’s “Dome Theater GAIA” (Koto-ku, Tokyo / Chief Executive Director: Mamoru Mohri, Ph. D., Operation: Japan Science and Technology Agency), which reopened on June 3.

In “Dome Theater GAIA,” visitors experience the dynamic charm of the universe through the screening of full-sky, super-high-precision 3D images and planetarium programs.
The 3D images, which endeavor to achieve a realism that evokes a sense of atmosphere and presence, leaves visitors breathless with its stunning quality that makes it seem as if the imagery is right in front of your eyes. And in the planetarium programs, about 10 million stars are projected to create a realistic and finely detailed starry sky that makes you feels as if you’re floating in space.

When the projectors and systems were renewed, Konica Minolta Planetarium Co., Ltd. (Toshima-ku, Tokyo / President: Hiroyasu Furuse) delivered and constructed a complete system, and Ushio Lighting supplied two units of the Christie “MIRAGE 4K40-RGB” RGB pure laser projector, which provides the high-definition 4K resolution images and 3D experiences necessary to project full-dome 3D images of the quality sought by the theater.

The MIRAGE 4K40-RGB is an all-in-one 40,000 lumen projector that combines a built-in laser light source and faithful image reproduction technology to achieve superb image quality, and image processing.

After this renewal, Miraikan made the following comment:
“Because the planetarium programs are so delicate, it was important that the star imagery wasn’t outmatched by the 3D images and that they didn’t interfere with each other, but we didn’t notice any issues. It also achieved a natural “finish” by relieving the stress caused by the difference in color shades between the right and left eyes during 3D projection, which had been an issue of concern. And it has improved brightness and color, so we’ll now be able to reproduce compelling visuals on a large screen. The number of units it uses has also been reduced to two, saving us time as well as reducing costs, and allowing us to effectively utilize space. In the future, when we update our content, I want to prepare items that can make effective use of this infrastructure.”

(Head Office: Tokyo, hereinafter “Ushio Lighting”), a member of the Ushio Group centered on USHIO INC. announced that, at the Board of Directors meeting held on May 28, 2019, Ryujiro Tsubaki resigned as Representative COO / Managing Director and his successor Katsumi Nakamori (previously Director and Managing Executive Officer) took office as the new COO / Managing Director, effective the same date.

Ushio Lighting has focused on expanding business domains while monitoring global trends in order to make us a company that opens up new possibilities in entertainment as one of the companies under Ushio Entertainment Holdings, Inc., which was established on April 1, 2017.

1. Purpose of Capital Reduction and Merger

(1) Purpose of Capital Reduction

The company’s capital will be reduced with the objectives of maintaining financial soundness through the appropriate application of tax systems and ensuring the future maneuverability and flexibility of the company’s capital policies.

(2) Purpose of Merger

USHIO LIGHTING, a specialist manufacturer and distributor of LED, halogen and other light sources for shops and commercial facilities and for studios and other SSTV applications, halogen heaters, and lamps and light sources for testing and measuring equipment, etc., enjoys a high market share and is highly recognized in the lighting industry. It offers computer-controlled lighting solutions for the entertainment industry, such as amusement facilities, theaters, studios, and stages at hotels, wedding halls and other similar facilities, building and landscape lighting, and special lighting fixtures for the marine and agricultural industries. It has further expanded into a wide range of business activities as a specialist trading company in exposure devices and industrial equipment in the industrial arena, and has built up a strong brand in specialized areas.
MAXRAY INC. is a long-established specialist manufacturer engaged in the design, engineering, manufacture and sale of special lighting fixtures for commercial facilities, interiors, and other applications. It maintains strong brand power, product strengths, and solution proposal capabilities.
With the merger between our two companies, MAXRAY and USHIO LIGHTING will become the domestic USHIO Group’s core company in the lighting field. It will cover a wide range of domains as an organization able to propose lighting solutions from light sources to lighting fixtures, from the “hardware” to the “software.” In the future, we will be able to deliver products and services of an even higher standard than before.

1) Amount of Capital Reduction
The company’s capital will be reduced by ¥917,485,000 from ¥1,017,485,000 to ¥100,000,000.

2) Method of Capital Reduction
Only the paid-in capital amount will be reduced, with the number of shares to remain unchanged. The ¥917,485,000 by which the paid-in capital will be reduced will be transferred to Other Capital Surpluses.

(3) Merger Method

The merger will be effected as an absorption-type merger. USHIO LIGHTING will remain as the company surviving the merger and MAXRAY INC. will be dissolved.

Release of LED Follow Spotlight “Sai-300”
-Realizing high illuminance, good color-rendering properties, easy operation to meet market needs-

USHIO LIGHTING, INC. (Chuo-ku, Tokyo; COO/Managing Director: Ryujiro Tsubaki, hereinafter referred to as “Ushio Lighting”), a subsidiary of Ushio Entertainment Holdings, Inc. (Chuo-ku, Tokyo; President and CEO: Shiro Ushio), is pleased to announce the release of Xebex® LED Follow Spotlight “Sai-300” as a new follow spotlight product essential for effective lighting on stage and at hotels, wedding venues, and other locations in mid-May 2017.

Xebex® follow spotlights manufactured and distributed by Ushio Lighting use three different light sources: xenon lamps, halogen lamps, and LEDs. These are used according to the location and throw distance as stage lighting equipment to light up specific people and points on stage or ceremonials such as large stadiums, outdoor / indoor stages, theaters, concert venues, halls, banquets, and schools.

As general lighting shifts toward LED, the market is seeking LED products for follow spotlights as a replacement for existing light sources. However, meeting user needs does not simply mean shifting toward LED but it also requires developing LED follow spotlights with high illuminance and color reproducibility.
Ushio Lighting developed and sold ULP-150, its first LED follow spotlight, in 2013, which was followed by ULP-200 with a higher illuminance. Despite a focus on illuminance and color reproducibility, both products were designed for short-throw applications. Therefore, Ushio Lighting has completed its medium-throw Sai-300 with high illuminance and color reproducibility and will expand its product lineups.

The main features of Sai-300 are as follows:
● High illuminance and optical design ideal for medium-throw lighting (10-15m): Center illuminance 12000 lx*1
● High color-rendering properties: CRI 90 or higher (R9: 70 or higher, R13: 90 or higher, R15: 90 or higher)*2*3
● Easy operation: Fixture body balance and low heat generation reducing operator burden
● Smooth dimming function
● Silent design: 35 dB or lower (particularly effective for stages, concerts, events, hotels, banquets, and wedding venues)

In addition, the features of LED, such as low power consumption and long life, contribute to reducing operating costs by minimizing electricity costs and cost/time necessary to exchange lamps. It is also ideal for fields of education and small event venues where securing a power supply is difficult.
There is a plan to start global sales of Sai-300, beginning with North America and sequentially expand the market share both in Japan and abroad.

Ushio Lighting is a leading manufacturer of xenon follow spotlights, popular since its launch in 1967, holding over 95% share*4 in Japan. Together with Sai-300, which will be put on the market soon, Ushio Lighting will continue giving effective, exciting, and vividness to stages and events.
